Confidentiality Agreement

The purpose of this agreement is to specify the necessary measures to protect the "Confidential Information," which includes the U.S. college application essays, data, know-how, and other intellectual property developed or owned by "Paschar".

"Confidential Information" refers to all technical or intellectual information learned or provided during the course of this consulting work. It includes all know-how, data, ideas, and information delivered in written, verbal, or other forms, as well as documents or media containing such information, regardless of whether it is tangible or intangible.

Without prior written consent from "Paschar", the Client shall not provide, disclose, divulge, or use the Confidential Information for any purpose other than for the cooperation in this consulting work, and shall maintain strict confidentiality.

Each party shall not transfer, subcontract, delegate, entrust, or offer as collateral any rights or obligations arising from "this agreement" to a third party without the prior written consent of the other party. Any party violating this clause shall compensate the other party for any damages incurred and cannot claim the validity of such actions.

If Confidential Information is disclosed to a third party or used for purposes other than the student's target college admission due to intentional or negligent acts, the responsible party shall be liable to the other party. Any disputes regarding this matter shall be subject to the jurisdiction of the court governing the location of "Paschar".
